The Assistant Company Secretary is responsible for supporting the Company Secretary in providing advice, information and support in all matters related to corporate governance and general company administration. This is a varied role which will allow the successful candidate growth and development opportunities.

Prepare board packs, agendas and compile board papers using Diligent Boards (Board Committee and management committee levels);

  • Prepare Board Committee minutes and action list follow up after each meeting
  • Maintenance of up to date corporate records on entity management platform (Diligent Entities
  • Maintain accurate statutory books and records for Group corporate entities and completing all required CRO filings including but not limited to B1’s, B10’s, B5’s, G1’s, G2’s, G1Q's
  • Prepare and file the necessary documentation for company incorporations with CRO
  • Strong listed company experience, including prior experience with RNS and Euronext submissions
  • Familaity with FCA/CBI regulatory requirements such as filing of TR1’s, TVR’s, PDMR notifications
  • Update and maintain buyback register including CRO filings (H5’s amp; B7’s)
  • Management of/assistance with Group Owner Management Companies
  • Management of GDPR Committee Meetings and internal GDPR reporting
  • Provide support to/deputise for the Company Secretary
  • File minutes, documents and action list follow up after meetings
  • Respond to any data requests arising
  • Provide corporate secretarial support for corporate projects across Group departments
  • Assist with the administration of Group employee share schemes
  • Assist with year-end reporting and annual governance calendar
  • Assist with drafting of Annual report
  • Help to develop and implement policies and procedures to continue to improve the functions of the corporate governance department
  • Liaise with senior management and non-executive directors
  • Attend team meetings and contribute to the overall success of the team through sharing of information and effective teamwork and other ad hoc duties that the Company may require from time to time.

Requirements

  • Background in Business, Law or Finance
  • Qualified or working towards ICSA qualification
  • Understanding of general data protection regulations (GDPR) and prior use of One Trust advantageous
  • Good technical knowledge of company secretarial practices and the Companies Act 2014
  • High work standards, including excellent attention to detail and strong prioritisation skills
  • Ability to deal confidently with demanding situations, people and requirements
  • Ability to work to tight deadlines and manage own workload and Proficient in the use of Microsoft Office software and company secretarial software (CORE, Diligent Boards, Diligent Entities).
